STOREFRONT TERMS OF USE

These Storefront Terms of Use (“Terms”) govern your access to and use of the online storefront (“Storefront”) hosted by Tide Platform Private Limited, a company incorporated under the laws of India, having its registered office at 3rd Floor, Videocon Tower, Jhandewalan Extension, New Delhi - 110005 (hereinafter referred to as “Tide”).

Please read these Terms carefully before using the Storefront. By using the Storefront, or by placing any order through it, you accept and agree to these Terms. These Terms are a legal contract between Tide and you. If you do not agree to these Terms or do not wish to be bound by them, you must not use the Storefront.

1. NATURE OF THE STOREFRONT

   1. Facilitation Only: This Storefront is a technology platform provided by Tide that enables independent third-party sellers (each, a “Seller”) to showcase products and receive orders.

   2. No Privity of Contract: Tide is not a party to any transaction or contract for sale between you and the Seller. Any agreement for purchase is strictly a bipartite contract between you and the Seller. If you have concerns about a purchase or need to request a chargeback, please contact your payment instrument issuer or the Seller directly. Since Tide is not a party to your transaction, any delivery of the products or the quality of the goods/services purchased by you is the sole responsibility of the respective Seller.

   3. No Endorsement: The listing of a product on the Storefront does not constitute an endorsement or guarantee by Tide regarding the quality, safety, or legality of the items.  Tide shall not be liable for any defects in the goods sold by the Sellers and does not provide any warranty for any products. Warranty, if any, shall be provided by the Seller. We recommend that you verify the applicability of warranty terms in respect of each product before purchasing the same through a Storefront. Tide shall not be liable for any claims arising in relation to the delivery of the products or the quality of the goods / services purchased by you. Delivery of the products is the sole responsibility of the respective Seller.

   4. Returns and Refunds: Orders for goods once placed cannot be cancelled. All product returns, refunds and cancellations are governed strictly by the policies of the respective Sellers. 

2. PRICING AND TAXES

   1. Inclusive Pricing: All prices displayed on the Storefront are inclusive of Goods and Services Tax (“GST”), duties, and cesses as applicable, unless expressly stated otherwise on the product page. 

   2. Price Changes: Items in your cart will always reflect the most recent price displayed on the item's product detail page. Please note that this price may differ from the price shown for the item when you first placed it in your cart. Placing an item in your cart does not reserve the price shown at that time. It is also possible that an item's price may change between the time you place it in your cart and the time you purchase it.

   3. Seller Responsibility: The Seller is solely responsible for the accuracy of pricing and for ensuring that applicable taxes are correctly calculated and remitted to the authorities.

3. PAYMENTS AND EXTERNAL CHANNELS

   1. Offline Payments: This Storefront does not facilitate payment processing or collection.

   2. Private Communication: Once an order is placed, the Seller will contact you via private channels (such as WhatsApp or Email) to share payment details, such as a UPI QR code.

   3. User Caution: You are advised to verify the identity of the Seller before making any payments. Tide shall not be liable for any fraudulent transactions or loss of funds occurring through these external channels.

4. LIMITATION OF LIABILITY AND SAFEGUARDS

   1. Platform "As-Is": Access to the Storefront is provided on an “as-is” and “as-available” basis without any warranties of any kind.

   2. Third-Party Content: Tide does not pre-screen or monitor the products listed by Sellers and disclaims all liability for any offensive, inaccurate, or unlawful content posted by a Seller.

   3. Indemnity: You agree to indemnify and hold Tide harmless from any claims or damages arising out of your use of the Storefront or your breach of these Terms.

   4. Maximum Liability: In no event shall Tide’s total cumulative liability for any cause of action arising from the Storefront exceed INR Ten Thousand (INR 10,000).

5. GOVERNING LAW: These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts at New Delhi.
