Tide Promotion Terms and Conditions

These terms and conditions (“Promotion Terms”) apply to the promotion described in the Promotion Key Terms (the “Promotion”) offered by Tide Platform Limited (“Tide”).

Terms in bold are defined in the Promotion Key Terms.

1. Overview

The Promotion includes:

  • Reward 1 as described in Promotion Key Terms; and, where applicable,

  • Where applicable, Reward 2 as described in the Promotion Key Terms.

Each of Reward 1 and Reward 2 is a ‘Reward’ and is subject to the Promotion Key Terms and these Promotion Terms.

2. How to qualify for the Reward

Applicants must during the Promotion Period:

  • satisfy the Eligibility Criteria; and

  • satisfy any Special Conditions.

3. Reward Conditions

Each Reward will be:

  • granted to the applicant via the Delivery Method during the Delivery Timeline; and

  • subject to the reward conditions set out in this clause that are specific to the Type of Reward.

3.1 Transaction Fee Discount Conditions

Where a Reward is a Transaction Fee Discount on payment acceptance products:

  • The amount of the Transaction Fee Discount is as set out in the Description.

  • Applies only to domestic consumer card payments, meaning UK-issued cards to individuals or UK-based businesses.

  • After the Promotion Period ends, standard Tide payment acceptance fees apply.

3.2 Monetary Reward Conditions

Where a Reward is a Monetary Reward:

  • The amount of the Monetary Reward is as set out in the Description.

  • Only one monetary reward may be paid per Tide account unless otherwise stated.

  • Tide may withhold, reverse, or reclaim a reward if:

    • Qualifying transactions are refunded or reversed;

    • The account is suspended or closed before payment;

    • There is a breach of these Promotion Key Terms, Promotion Terms or the Tide Terms;

    • A technical error occurred.

  • See Excluded Transactions in clause 4j.

3.3 Cashback Reward Conditions

Where a Reward is a Cashback reward:

  • The amount of the Cashback is as set out in the Description.

  • If the account is closed or suspended before the reward is paid, cashback is forfeited.

  • See Excluded Transactions in clause 4j.

3.4 Refer a Friend Reward Conditions

Where a Reward is part of a Refer-a-Friend promotion:

  • The amount of the Reward is as set out in the Description.

  • A Successful Referral requires that the Referrer and Referee each meet their applicable Eligibility Criteria as set out in thePromotion Key Terms.

  • A Referee must apply using the Referrer’s unique Referral Code, either during account sign-up or within 7 days of opening their account (via the app or in-app chat).

  • Only one Referral Code may be used per Referee.

  • Where multiple Referrers invite the same Referee, the Reward will be attributed to the Referrer whose code is actually used.

  • Both Referrer and Referee must hold active Tide Business Accounts and be in compliance with the Tide Membership and Product Terms at the time of reward payment.

  • Participation is limited to one referral per Referee.

  • The Referee may be connected to the Referrer (e.g. the same individual or company group), provided that the Referee is a different legal business entity from the Referrer and is opening its own Tide business account for the first time.

3.5 Free or a Discounted Period of a Subscription Conditions

Where a Reward is free or discounted period of use of a subscription based product:

  • The promotional discount or free period applies for the specified period. 

  • To take up an offer you must subscribe or upgrade to the relevant service, tool or add-on. 

  • After the discounted or free period expires, your subscription automatically becomes paid unless you cancel beforehand. After the subscription becomes paid, you will be charged the standard fee for this subscription as per our Fee Schedule and our billing terms governed by the Tide Terms

4. General Terms

a. One Reward per Account Unless otherwise specified, each Reward may be earned once per business. A sole trader that earns a Reward as a sole trader cannot convert to a Limited Company and earn the same Reward again.

b. Non-Combination The Promotion may not be used in conjunction with any other offer unless explicitly stated.

c. Amendments, Withdrawal and applicability of other terms Tide may amend, suspend, or withdraw the Promotion or these Promotion Terms at any time. Continued use of Tide services constitutes acceptance of any changes. These promotional terms and conditions should be read in conjunction with the Tide Membership and Product Terms available at tide.co/terms that govern the use of Tide’s products and services.

d. Fair Use Promo Codes and Rewards must be used in good faith. Abuse, misuse, or manipulation of the Promotion may result in disqualification and reversal of Rewards. All offers must be used as intended by Tide and must not be used (including referral codes) as a means for the member or the applicant to generate income or business. All Tide products and services are intended to be used for business purposes only and not for consumer use.

e. Withholding or Reversal Tide may withhold, reverse, or reclaim Rewards or Cashback if:

  • Earned in breach of these Promotion Terms or Tide Terms;

  • A transaction is reversed, refunded, or disputed;

  • It has reasonable grounds to believe that you have engaged in any fraud or material abuse of the promotion;

  • A technical or calculation error occurred;

  • The Referral Code was used fraudulently or in breach of these Promotion Terms or the Tide Terms;

  • The account was closed, suspended, or ineligible at the time of payment.

f.Payouts Rewards may take up to 8 weeks to be credited to your Tide Business Account as of the date of validation of all applicable eligibility criteria as well as any Special Conditions. Where there are two separate Rewards as part of the same promotion, each Reward may be paid separately.

g. Approval Tide reserves its right to open a Tide Account for you only after you have passed our KYC checks as per the applicable Tide Terms. Tide shall not be required to provide any reason or be held responsible that any applicant has not been approved for a Tide account.

h. Tax implications

You are solely responsible for any tax related payments and submissions arising from any Reward payments received under this promotion and should seek independent tax advice if required.

i. Payments Acceptance Products

Any payment acceptance products should be used in line with Adyen’s Restricted and Prohibited Products and Services list and should not be used for transactions relating to Prohibited and Restricted businesses as stipulated in the list at https://www.adyen.com/legal/list-restricted-prohibited.

j. Rewards based on spend by the Member

Any Reward that is based, calculated or conditional on spend by you is calculated based on the date the funds are debited, not necessarily the transaction date.

k. Excluded transactions 

  • The following non-exhaustive list of transactions are excluded from the calculation of any Reward that is based, calculated or conditional on spend by you:

    • repeated purchases (e.g. subscriptions);

    • fees (e.g. bank fees such as product fees and loan fees), 

    • promotional merchandise, gift cards, cheques, as well as charges and interest or any bill payments;

    • currency conversion fees or other foreign transaction fees;

    • deposits, balance transfers or other money transfers (e.g. loan, debt or credit card repayments);

    • ATM withdrawals;

    • any top-ups or payment of funds to payment service providers, prepaid cards and any prepaid accounts;

    • tax payments;

    • payments to government institutions and services (e.g., property, land, company or vehicle registration and licence fees, as well as parking fees or other administrative fees or charges);

    • securities, brokers/dealers and

    • disputes and recharges.

Note: This list is non-exhaustive and may be updated by Tide at any time.

  • Any Reward that is based, calculated or conditional on spend by you is earned only on genuine card purchases or payments at specified merchants or within defined Merchant Category Codes (MCCs) (Merchants or the merchant banks get a specific code based on what they sell or the services they provide. This code is called a Merchant Category Code (MCC). We use the MCC to work out whether you can earn cashback on a transaction. Tide does not control what type of code a merchant gets and we’re not able to change this code. This means that in some cases, a merchant might sell something that seems eligible for cashback, but because of the MCC, the transaction isn’t eligible).

l. Liability

Tide gives no warranty and accepts no liability in connection with any Promotion or other services/products or the participant’s use of them. Tide is not liable for any delays, merchant errors, technical issues, or other external factors outside Tide’s control that may impact the ability to earn or receive a Reward. This includes but is not limited to merchant MCC coding, payment network delays, or actions by third-party service providers.

m. Governing Law and Jurisdiction These Promotion Terms are governed by English law. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
